Terms of Service

These Terms of Service govern your access to and use of the SignalScore platform operated by Predivo GmbH. By creating an account or using the Service, you agree to be bound by these Terms in their entirety.

By creating an Account, you agree to these Terms and all policies incorporated by reference: Privacy Policy, Cookie Policy, Disclaimer, and Acceptable Use Policy.
You must be at least 18 years old. If acting on behalf of an Organization, you warrant authority to bind it to these Terms.
3. Service Description
SignalScore is an OSINT-based credit assessment tool for Swiss companies. It aggregates publicly available data and uses AI to generate indicative credit assessments.
Important
SignalScore is not a credit reporting agency, credit bureau, or regulated financial institution. Reports are informational only and not a substitute for Creditreform, Dun & Bradstreet, CRIF, or similar services. Reports must never be the sole basis for credit or business decisions.
4. Account Registration
You must provide accurate information and keep it current. Each legal entity may maintain only one Organization. You are responsible for your credentials and all Account activity. We may suspend or terminate violating Accounts.

Prices are in CHF, excluding VAT. Annual billing is available at a 20% discount. Pricing may change with 30 days notice. Unused checks do not roll over.
6. Payment Terms
Paid subscriptions are billed in advance, monthly or annually, via our payment provider Stripe. You subscribe directly in the app (Settings → Billing); your subscription renews automatically until cancelled. You can manage or cancel it at any time in the Stripe Customer Portal — cancellation takes effect at the end of the billing period already paid, and no refunds are given for partial billing periods. If a payment fails and remains unsettled for more than 14 days, access to paid features may be restricted until payment is made. For billing questions, contact support@signalscore.ch.

In addition to our Acceptable Use Policy, you agree not to:

- Service: Design, code, algorithms — owned by Predivo GmbH
- Reports: Non-exclusive, non-transferable licence for internal business use only
- User data: Remains your property
- Feedback: Unrestricted, royalty-free licence to Predivo GmbH

All Reports are produced by artificial intelligence (Claude by Anthropic). You acknowledge:
12. Service Availability
"Best efforts" basis — no guaranteed SLA. Maintenance may cause temporary unavailability. Third-party data sources may be rate-limited or unavailable. We are not liable for interruptions beyond our control.
13. Limitation of Liability
Under Swiss law (Art. 97–100 OR): Predivo GmbH shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunities.
Aggregate cap: Total liability shall not exceed the fees paid in the 12 months preceding the claim. As free-tier use involves no fees, no monetary liability arises for free users.
Exception: Nothing excludes liability for intentional misconduct (Absicht) or gross negligence (grobe Fahrlässigkeit) under Art. 100 OR.
14. Indemnification
You indemnify Predivo GmbH against claims arising from misuse of Reports, Terms violations, law violations, or third-party claims from your use of the Service.
15. Termination
- By you: Delete account or contact support@signalscore.ch
- By us: Suspension or termination for Terms violations, with or without notice
- Effects: Access ceases, data retained per Privacy Policy, no partial refunds
- Surviving sections: IP, AI Disclaimer, Liability, Indemnification, Governing Law
16. Modifications
We may modify Terms with 30 days email notice. Continued use = acceptance. Material changes may require re-acceptance.
17. Governing Law
Swiss substantive law, excluding conflict-of-law provisions and CISG.
18. Jurisdiction
Exclusive jurisdiction: courts at the registered office of Predivo GmbH in Küssnacht am Rigi, Switzerland. Mandatory consumer protection provisions preserved.
19. Severability
Invalid provisions are replaced by valid ones reflecting the original intent. Remaining provisions continue.
20. Entire Agreement
These Terms + Privacy Policy + Cookie Policy + Disclaimer + Acceptable Use Policy = entire agreement.
21–22. Waiver & Assignment
Non-enforcement is not a waiver. Predivo GmbH may assign rights on merger/acquisition. Users may not assign without consent.
