Please read this Legal Disclaimer carefully before using SignalScore. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Disclaimer in its entirety.

1. General Disclaimer

SignalScore is an information service that provides AI-generated indicative analyses of Swiss companies based on publicly available data.

• Not regulated — SignalScore is not registered with or supervised by the Swiss Financial Market Supervisory Authority (FINMA), the Swiss National Bank (SNB), or any other financial supervisory authority.
• Not a credit bureau — SignalScore is not affiliated with Creditreform, Dun & Bradstreet, Bisnode, CRIF, Intrum, or any licensed credit reporting or debt collection agency.
• No proprietary database — SignalScore does not maintain a proprietary credit database, does not receive payment experience data from creditors, and does not participate in any credit bureau data-sharing network.
• As-is basis — The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.

2. Nature of Credit Assessments

• Scores (A–F / 0–100) are algorithmic indicators derived from automated processing of publicly available data. They represent a probabilistic estimate, not a definitive evaluation of creditworthiness.
• Reports do not have the legal standing or regulatory recognition of a formal credit report issued by a licensed agency.
• Reports must not be relied upon as the sole basis for any business, financial, investment, legal, or operational decision.

Any use of Reports for the purposes described above is strictly at the User's own risk. Predivo GmbH expressly disclaims all liability arising from such use.

General caveats:

• Data availability depends on third-party service uptime and accuracy. Unavailability may result in incomplete assessments.
• Predivo GmbH performs no independent verification beyond what the original source provides.
• Data is fetched live at the time of each check. Reports are point-in-time snapshots and may become outdated immediately after generation.

5. No Professional Advice

Reports do not constitute any form of professional advice. Specifically, Reports are not:

Users should engage qualified professionals before making significant decisions. For formal credit assessments, engage a licensed credit reporting agency.

No advisory relationship or fiduciary duty is created between Predivo GmbH and any User by virtue of using the Service.

6. Limitation of Liability

To the fullest extent permitted under Swiss law (Art. 97–100 OR):

Predivo GmbH and its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from:

• The use of, or inability to use, the Service or any Report
• Any inaccuracy, incompleteness, or omission in any Report
• Business decisions made in reliance on any Report
• Financial losses resulting from reliance on assessments
• Reputational harm to any company assessed by the Service
• Errors or unavailability of third-party data sources
• AI-generated content that is incorrect, misleading, or biased
• Service interruptions, downtime, or technical failures
• Unauthorized access to or alteration of User data
• Changes to the AI model, scoring methodology, or data sources
• Any third-party claims arising from the User's use of Reports

Aggregate liability cap: Total aggregate liability shall not exceed the fees paid by the User in the twelve (12) months preceding the event giving rise to the claim.

7. Rights of Assessed Companies

Companies that are the subject of a Report are not parties to any contractual relationship with Predivo GmbH.

• Data sources: All data is sourced from publicly available registers and websites. No non-public or confidential data is used.
• Inquiries: Contact support@signalscore.ch to inquire about data held.
• Corrections: SignalScore does not maintain a proprietary database. Corrections should be directed to the original data source (e.g., cantonal commercial register). Subsequent queries will reflect updated information.
• Personality rights (ZGB Art. 28): Reports are not published publicly. They are available only to the requesting User's organization for internal use.
• Unfair competition (UWG Art. 3): SignalScore provides factual analysis based on public data. It does not make comparative statements or publish misleading information about assessed companies.
• Data protection: Processing is conducted in accordance with the nDSG. Assessed companies and their officers may exercise data protection rights per our Privacy Policy.

8. Service Availability

Predivo GmbH does not guarantee uninterrupted, continuous, or error-free access to the Service.

• The Service depends on third-party infrastructure (Supabase, Anthropic, APIs).
• Data sources may be rate-limited, unavailable, or discontinued.
• We may modify, suspend, or discontinue the Service at any time.
• We are not liable for loss arising from Service unavailability.

You agree to indemnify and hold harmless Predivo GmbH from any claims arising from:

• Your use of, or reliance on, the Service or any Report
• Your violation of this Disclaimer, Terms of Service, or applicable law
• Misuse of Reports, including misrepresentation as official credit ratings
• Business or legal decisions made in reliance on AI-generated assessments
• Third-party claims arising from your use of the Service
• Distribution or publication of Reports in violation of terms of use

This indemnification obligation survives termination of your account.

11. Governing Law & Jurisdiction

This Disclaimer is governed by Swiss law, excluding conflict-of-law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG).

Disputes shall be submitted to the exclusive jurisdiction of the courts at the registered office of Predivo GmbH, subject to mandatory statutory provisions.

If any provision is held invalid, the remaining provisions continue in full force.
